VOICES OF WOMEN
BY-LAWS
ARTICLE I
NAME AND PURPOSE
Section 1: The name of this organization shall be Voices of Women (VOW).
Section 2: The purpose of VOW shall be to raise awareness of international issues and U.S. foreign policy.
ARTICLE II
SUPPORTERS AND DUES
Section 1: Supporters of VOW shall be open to all who are interested in its programs, regardless of gender, race, color or creed (Civil Rights Act, Title 7). All meetings of Supporters shall be open to all supporters and their guests.
Section 2: There shall be the following types of memberships, which may vary or be added from time to time:
a. Supporters shall pay annual dues and be invited to attend the general supporter meetings, and to participate in the projects and programs of VOW.
b. Underwriters shall pay an enhanced annual dues, and may be acknowledged in each published program of VOW and on the website, if desired.
c. Honorary supporters may be named by the VOW Board from time to time.
d. Corporate supporters or other categories may be added from time to time.
Section 3: Dues:
a. All dues are due on March 1 of each year, and are delinquent as of May 1. After proper notification, supporters shall be deemed delinquent and forfeit their supportership. A forfeited supportership may be reinstated by payment of the current year’s dues.
b. Supporters admitted on or after September 1 shall pay one-half of the annual dues.
ARTICLE IV
Officers
Section 1: The officers of VOW shall be the President, Vice President(s), the Secretary (-ies), the Treasurer(s), as required, and the Parliamentarian. These officers shall be subject to re-appointment on an annual basis.
Section 2:
a. The President shall be the Chief Executive Officer of VOW and shall preside at all meetings of the supporters of VOW and the Board of Directors. The President, or the designated Vice-President, shall be an ex officio member of all committees.
b. The Vice-President(s) shall coordinate supporters, Special Events, and/or perform such other duties as the President and the Board of Directors shall request.
c. The Secretary(-ies) shall keep and distribute the minutes of the meetings of the Executive Committee and the Board of Directors. A Secretary shall carry on the correspondence of VOW and shall keep a file of all such correspondence.
d. The Treasurer shall be the Chief Financial Officer and shall receive all funds paid to VOW, including dues, and shall deposit such funds in the name of VOW in such banks as may be designated by the Board of Directors. The Treasurer shall oversee and be responsible for all disbursements and financial records of VOW, keep detailed accounts of assets, liabilities, and receipts for examination by the Board of Directors, including co-signing all checks with Board-approved members, as appropriate. The Treasurer shall render an annual report and shall review and report the monthly financial reports of VOW to the Board of Directors, shall file the Federal and State tax forms, if required, shall be a member of the Budget Committee, and may arrange for an annual review or periodic audit of VOW accounts. The Treasurer shall also oversee the Budget Committee and be responsible for presentation of a proposed budget to the Board, and shall advise and assist the Board of Director s needed, or requested, on financial matters.
e. The Parliamentarian shall be appointed by the President and shall serve as a voting member of the Board of Directors. The parliamentarian shall advise supporters about parliamentary procedure at all meetings and shall review the By-Laws and Standing Rules, if they exist, annual, in order to propose changes where necessary. Roberts Rules of Order, Newly revised, shall govern VOW meetings except when in conflict with the By-Laws. In the event of a conflict of interpretation, the Board shall decide the issue by a vote of its present directors.
f. Other officers or committee chairs shall be appointed by the President of VOW with the approval of the Board.
Section 3. Meetings of the Executive Committee shall be held upon the call of the President, a Vice President, or any three members of the Executive Committee.
Section 4: A simple majority of the members of the Executive Committee shall constitute a quorum.
ARTICLE V
Committees
Section 1: Standing Committees are those committees that have permanent responsibilities in the programs of VOW. They may be created or dissolved as needed, by the President, with the approval of the Board. The President shall appoint the Chairs.
Section 2: Special committees may be appointed by the President, with the approval of the Board, to carry out the purposes of VOW and shall be automatically dissolved when they have discharged their functions.
ARTICLE VI
Annual Meeting
There shall be an Annual Meeting of the supporters, which may include the presentation of reports of activities, and such other business as may properly come before the meeting. Other meetings of the general supportership may be focused on programs and presentations of various informative matters, and may include any other necessary business.
ARTICLE VII
Fiscal Policies
Section 1: The fiscal year shall commence on January 1 and end on December 31.
Section 2: Requests for financial disbursements shall be submitted in writing to the VOW President, who will refer it to the appropriate committee for consideration and recommendation to the Board of Directors.
Section 3: Funds raised through supporters' dues may be used for the regular expenses of VOW.
Section 4: All contracts made or executed by VOW shall be signed by the President, or an appropriate Vice-President in the absence of the President, and noted in the minutes of the Board of Directors.
ARTICLE VIII
Amendments
These By-laws may be amended by a two-thirds affirmative vote of the VOW Board.
